Terms of Service

1. Engagement Scope & Deliverables

Our services are provided under a Statement of Work (SoW) that defines specific outcomes such as ‘increase sprint predictability by 20%’ or ‘achieve SAFe 6.0 certification.’ All deliverables are subject to acceptance testing criteria using objective flow metrics (cycle time, WIP aging).

• Client responsibilities: Provide access to tools (Jira, Azure DevOps), assign a Product Owner as single point of contact, and attend all planned PI events.
• Payment terms: 50% upfront, 50% upon SoW deliverable sign-off. Late payments incur 1.5% monthly interest under Uniform Commercial Code (UCC).

2. Intellectual Property & Confidentiality

Pre-existing IP remains with each party. Deliverables (custom scripts, Kanban policies) are assigned to Client upon full payment. Both parties agree to NDA terms per Defend Trade Secrets Act (DTSA) with a 5-year survival clause.

3. Limitation of Liability & Dispute Resolution

Liability is capped at total fees paid. Disputes resolved via binding arbitration under JAMS Rules in [City, State]. Class actions waived. This agreement is governed by the laws of [State].
